1) Eligibility & Accounts

• You must be at least 18 and able to form a binding contract.
• You are responsible for your credentials, users, roles, and activity under your account/sub-accounts.
• Keep your information accurate and notify us of any unauthorized use.

2) Subscriptions, Trials & Billing

• Access is subscription-based unless stated otherwise. Prices are shown at checkout or on your order page.
• Trials convert to paid unless canceled before the trial ends.
• Fees are billed in advance and are non-refundable except where required by law or expressly stated by us.
• Taxes, telecom fees, carrier surcharges, and pass-through costs may apply.

3) Cancellations & Downgrades

• You may cancel anytime from your billing page; access continues until the end of the current billing period.
• Downgrades may limit or remove features or capacity immediately or at the next renewal.

4) Acceptable Use

• No spam, unlawful, deceptive, harmful, or abusive activities.
• No scraping, reverse engineering, security bypass, or load/stress testing without written consent.
• Comply with applicable laws (telemarketing, TCPA, GDPR/CCPA as applicable, HIPAA where enabled, carrier & platform policies).
• You’re responsible for content you upload, send, or generate via the Service.

5) AI & Automation Disclaimers

• AI outputs can be inaccurate or incomplete. You must review and validate before relying on them.
• You remain responsible for messaging compliance, opt-ins, disclosures, and regulatory requirements.

6) Third-Party Services

Integrations (telephony, email, social networks, payments, calendars, etc.) are provided by third parties subject to their terms. We are not responsible for third-party outages, policy changes, or fees.

7) Uptime, Changes & Support

• Availability may vary due to maintenance, updates, or provider issues.
• We may modify features, impose limits, or discontinue components with reasonable notice when feasible.
• Support scope and SLAs depend on your plan.

8) Intellectual Property

• We and our licensors retain all rights to the Service, software, and content.
• You own your data and customer content; you grant us a limited license to host and process it to provide the Service.
• Logos, names, and trademarks are the property of their respective owners.

9) Feedback

If you submit ideas or suggestions, you grant us a perpetual, worldwide, royalty-free license to use them without obligation.

10) Publicity

We may reference your business name and logo as a customer unless you opt out by emailing [email protected].

11) Termination

• We may suspend or terminate access immediately for violations of these Terms, non-payment, or legal risk.
• Upon termination, your right to use the Service ceases; certain sections survive (e.g., IP, disclaimers, liability limits).

12) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15) Governing Law & Disputes

These Terms are governed by the laws of Florida, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida, unless otherwise required by law.

We may update these Terms. Material changes will be notified via the app, email, or website. Continued use of the Service after changes become effective constitutes acceptance.
